Das Compliance Netzwerktreffen am 24. April 2014 in Salzburg stand unter dem Motto „Compliance & Change“. Mit „Change“ war jener radikale Paradigmenwechsel in der Compliance gemeint, den die einladende Porsche Holding Salzburg nach der Übernahme durch den börsenotierten Volkswagen-Konzern im Jahr 2011 durchlief.
Schlank bleiben
Das Thema habe sich seit damals „dramatisch verschärft“, sagte CFO Hans Peter Schützinger (im Bild), der einleitend durch die Geschichte des Autohandelskonzerns führte. Trotz der Vorgaben aus Wolfsburg sei es ein Ziel der Führungsmannschaft gewesen, „schlank zu bleiben und unternehmerisch zu handeln, nicht wie eine Bank“.
Die Eingliederung des Familienbetriebs in die Konzernstruktur mit all ihren Compliance-Regelungen verlief trotzdem nicht ohne Widerstände bei der Belegschaft. Viele fragten: „Sind Geschäfte bei all den Restriktionen überhaupt noch möglich?“
Mit der Einrichtung eines Whistleblowing-Systems sei es auch zu vermehrten Meldungen und anonymen Schreiben gekommen. „Die meisten Vorwürfe brechen in sich zusammen, wenn die Interne Revision zu prüfen beginnt“, sagte Schützinger.
Bei allen Herausforderungen in der Compliance habe man aber versucht, die Organisation nicht aufzublähen und ganz auf eine genaue Schulung der gesamten Belegschaft gesetzt.
Der Ausgangszustand als Angstzustand
Markus Ebner, Compliance-Verantwortlicher der Porsche Holding, skizzierte im Anschluss gemeinsam mit KPMG-Partner Gert Weidinger die Herausforderungen, die sich durch die neue Compliance-Struktur stellten, genauer.
Von Anfang an war bei der Konzeption des Compliance-Management-Systems (CMS) klar, dass das Deklarieren eines Verhaltenskodex nicht genügen würde. „Es kommt darauf an, die Leute zu überzeugen. Ihnen das gleiche Bild von Change zu vermitteln, das man selbst hat“, so Ebner.
Dazu musste man die Begriffe Compliance- und Change-Management miteinander „verheiraten“. Die Mitarbeiter draußen in der Organisation sollten dazu befähigt werden, jeweils selbst die richtige Entscheidung zu treffen.
Für die Compliance-Verantwortlichen war dabei klar, dass dieser Veränderungsprozess nicht reibungslos vonstatten gehen würde. Im Change Management werden die Phasen eines Wandlungsprozesses mit Angst – Widerstand – Wut – Depression – Exploration – Akzeptanz – Commitment beschrieben.
Um vom Zustand „Angst“ zum Zustand „Commitment“ zu kommen, setzte man bei Porsche darauf, „jeden Mitarbeiter persönlich abzuholen“. Das bedeutet, dass man mit allen Mitarbeitern, für die Compliance-Themen relevant sind, persönliche Schulungen durchführte. Ergänzend gab und gibt es IT-gestützte Lernprogramme zum Frischhalten der Richtlinien.
Keine Frage des Alters
Der Chief Compliance Officer musste dabei lernen, auch mit „extremem Widerstand“ umzugehen. Die größte Herausforderung im Change-Prozess war es „dorthin zu gehen, wo es weh tut“. Etwa vor der Vertriebsmannschaft seinen Standpunkt zu verteidigen.
Was die Akzeptanz der Neuerungen betrifft, spielte das Alter nach Ebners Erfahrung keine so große Rolle. Entgegen dem Klischee sei die Persönlichkeit des Einzelnen ausschlaggebender für den Umgang mit Veränderung als das Alter.
In Zukunft will Ebner besonders auf Arbeitskräfte, die in der Hierarchie aufsteigen, aktiv zugehen, um sie möglichst frühzeitig mit der Unternehmenskultur zu prägen.
